Coinstore Earn (“Service”) is the cryptocurrency derivative launched by Coinstore.Coinstore takes charge of the product design and the operation of the trading platform.Before using Coinstore Earn, please carefully read and abide by the Coinstore Earn Service Agreement (“Agreement”).Please carefully read the terms and conditions of this Agreement and the service rules of the Platform prior to your investment, ensuring that you’re fully informed and understand the operating rules and the investment scope of “Coinstore Earn”, as well as relevant rights, obligations, and responsibilities of all parties.Once you click the “Consent” button, it shall be deemed that you agree to invest “Coinstore Earn”, fully understood, and completely accept the terms and rules set forth in this Agreement.
Special Note:
1. “Coinstore Earn” is the guaranteed product of virtual currencies.
the Platform guarantees investors that principal and interest payments will be made (refer to virtual currencies, similarly hereinafter), and ensure your minimum profit.
2. Prior to investing “Coinstore Earn”, users should read this Agreement carefully, and make sure that he/she fully understand the investment nature and the risks involved. Users should learn more about and carefully assess “Coinstore Earn” regarding the investment model, risk types, and expected profit rate, and then determine the subscription amount in accordance with users’ acceptable risk level and requirements of asset management after careful considerations. The funds staked on Coinstore is principle protected by Coinstore and the APY stated on the earn platform is guaranteed by Coinstore.
3. After the investment, users shall stay current with the Office Notice announced on the Platform, obtain the latest news, and take appropriate measures.
4. Investment involves risks. Investors shall evaluate the matching relationship among the investment of “Coinstore Earn”, his/her acceptable risk level, and the asset management requirements, and then determine whether to invest or not, as well as the subscription amount.
The major risks may be involved in the investment are shown below:
（1）Investment risk: The Platform guarantees investors that principal and interest payments will be made after they invested “Coinstore Earn”, which means there’s zero risk involved in the investment.
（2）Market risk: Affected by various market factors and macroeconomic policies, the market price (profit rate) of the underlying asset invested by users may felt, thereby affecting the return on investment of “Coinstore Earn”.Users’ ultimate return is subject to amount received in their platform account, that is, the principal and interest (profit) repaid by the financier.
（3）Policy risk: “Coinstore Earn” is designed in line with the current legal and regulatory policies. In case of any changes in legal and regulatory policies, the operation of “Coinstore Earn” may be affected to some extend. In exceptional cases, the Platform may make adjustments to “Coinstore Earn” or terminate the service and shall not constitute a breach of the Agreement.
（4）Management risk: The Platform always abides by and performs the obligation and responsibilities of being honest, trustworthy, cautious, and managing effectively. However, if the Platform and/or financier is required to obtain certain qualification or certificate for the provision of related products according to the domestic legal and regulatory policies, and the Platform and/or financier fails to obtain such qualification or certificate subject to the actual situation and limits, which causes the Platform unable to take reasonable measures allowed by related laws and regulations to ensure the continuous provision of services and fulfillment of responsibilities under this Agreement over the duration of this Agreement and the Platform. In this case, the Platform is allowed to inform users about the termination of this Agreement one day in advance, calculate the remaining principal and return of investment as of the determination date, and settle the residual balance to users’ platform account after deduction of relevant service charges and taxes under this Agreement.
(5) Risk of information transfer: When investors holding “Coinstore Earn”, the Platform may adjust the terms and rules or even terminate “Coinstore Earn” according to the Agreement.
In this case, the Platform will make a public announcement in ways that include but are not limited to the official website, the Platform, and the mobile App.
Users shall inquire about relevant information timely by ways of announcement set forth in this Agreement. In case of failure to obtain correlative adjustments due to late inquiry, communication failure, system failure, and other force majeure factors, all responsibilities and risks arising therefrom shall be born by users solely.
(6) Credit risk: In case of any breaching behaviors occurred by the debtor/financier of the underlying assets or the publishing platform of such assets, or inaccurate, untrue, and incomplete disclosure of the debtor/financier of the underlying asset or the information of such assets published on the Platform, users may suffer from earnings changes or even investment loss in the investment of “Coinstore Earn”.
(7) Other risks: Other related investment risks caused by natural disasters, financial crisis, war, social unrest, strike, and other force majeure factors.
Agreement
1.Terms Definition and Meanings
Unless the context otherwise requires, the words mentioned hereafter have the following meaning in this Agreement:
1.1 Investor: namely the user. It refers to a natural person who is the registered user of the Platform, entrusts the Platform to provide investment information online for investment by his/her own funds according to this Agreement, with a view to gain investment returns, and has the full capacity of civil rights and civil conduct, able to exercise and bear the rights and obligations under this Agreement independently.
1.2 Financier/debtor: namely the debtor of the underlying asset. It refers to the domestic civil subject (natural person, legal person, etc.) that has financial needs, entrusts the Platform to provide the information of investors and investment requirements, and agrees to sign financing agreement with the lender.
1.3 Underlying asset: refers to the creditor’s claim or the package of debt against the debtor formed by lending money to the financier through user’s investment in “Coinstore Earn”.
According to this Agreement and the Platform's rules, users have the rights to check their underlying assets corresponding to the investment in “Coinstore Earn”.
1.4 Internet Intermediary Service: refers to investment facilitation services provided by the pltform to individual borrowers and investors via its Internet plaform, including “Coinstore Earn” and other service products launched later.
1.5 “Coinstore Earn”: refers to the Internet investment product launched by the Platform to satisfy financing needs of financiers that helps facilitate the trading between borrowers and investors through the provision of invesment information to financier on the Platform.
Users can gain return by investment in “Coinstore Earn”.
The investment of "Coinstore Earn" shall apply to the Section 2 of this Agreement.
1.6 Payment agencies (if has): refers the third-party payment platform (the Platform partner) that provides fund management service.
1.7 This platform: refers to the Platform that provides investment facilitation service for borrowers and investors through the provision of Internet investing information (Website: www.Coinstore.com).
1.8 Investment/Subscription: refers to users’ acquisition of financiers’ information via “Coinstore Earn” for investment by entrusting the Platform to choose financier with the consent of lending money to the financier to obtain interests (profits) on claims.
Users are free to decide the investment amount, which is restricted by the financier's financing amount of the day and related rules published on the Platform.
1.9 Transfer: refers to users transfer the “Coinstore Earn” products they invested to other investors on the Platform.
Once transferred, the Platform shall work with the new investor to settle and pay the transfer price to the transferor.
1.10 Maturity of underlying asset: refers to the principal and returns repaid to the investor by the financier according to the agreement by the both parties.
The maturity of underlying asset is divided into partially maturity and full maturity.
Once the underlying assets are fully matured, the financier shall repay all the funds and interest raised under the loan agreement.
1.11 Platform account: refers to the capital account opened for investors according the Platform’s rules upon users’ registration on the Platform.Investors are allowed to check their account balance and withdraw cash on the Platform.
1.12 Expected profit rate: refers to the expected annual growth rate published on “Coinstore Earn” according to the financial interests promised by the financier.The profit rate is only for reference prior to investment and shall not be interpreted as any return guarantee or promise of the Platform to users.It is not equal to investors’ actual rate of return.
1.13 Cooperation agencies: refers to agencies that establish cooperative relations with the Platform, including but not limited to banks, qualified financial institutions, online lending companies, intermediary companies, and other affiliate partners.
1.14 This agreement: refers to the terms, conditions, information and all appendix included in the Coinstore Earn Service Agreement.
1.15 Fund-raising period: refers to the period for any phase of subscription for “Coinstore Earn” products published on the Platform.
The fund-raising period will be ended once the published products of “Coinstore Earn” is fully subscribed.
During the fund-raising period, the principal amount invested regarding the subscription of “Coinstore Earn” products will generate no revenue.
1.16 Duration: Take any product of “Coinstore Earn” published on the Platform for example, duration refers to the period between the day after fund-raising period is expired and the last repayment date specified in the agreement signed by the borrower and investor.
1.17 Month: refers to calendar months.
1.18 Day: refers to calendar days.
2. About “Coinstore Earn”
2.1 The financier entrusts the Platform to publish financing requirements to the Platform's registered users. The user acknowledges and agrees lending money to the financier and obtain corresponding interests or returns according to the terms and methods set forth in this Agreement.
2.2 When investing “Coinstore Earn”, users can check the status of the underlying assets, and entrusted the Platform to select the investment typs and amount of the underlying assets.
The minimum and the maximum investment amount of each users are subject to the rules published on the Platform and the official website.
2.3 The investment return regarding the subscription of “Coinstore Earn” under this Agreement is calculated on the next day after the fund-raising period is expired.

3. Product Transfeer
3.1The transfer of products on the Platform depends on different products, and products that meet the transfer rules are available for transfer.
4. Auto-bidding
4.1 Users are allowed to entrust the Platform to bid automatically or terminate auto-bidding function by clicking ON or OFF button of “Auto-biding” on the user interface.
4.2 Once the auto-bidding function is ON, it shall be deemed that the user entrust the Platform to invest his/her account balance in “Coinstore Earn” and other products launched by the Platform later.
4.3 The platform is obliged to finish auto-bidding as soon as possible.
The Platform will not guarantee immediate auto-bidding and corresponding returns once the function is ON.Once auto-bidding is done, the revenue generated from invement in “Coinstore Earn” and other products will start calculation from the next day after the fund-raising period is expired. The Platform shall send system notifications to users in a reasonable manner after completing auto-bidding.
5. Subscription Amount
5.1 Users acknowledge the following legitimate funds used in the investment of “Coinstore Earn”:
Investment amount (subject to the actual investment amount paid by users’ platform account)
6. Equity Settlement
6.1 Users shall enjoy the benefits of the underlying assets after the fund-raising period is expired and the investment amount has been paid to the designated account of the financier according to Section 3 of this Agreement.The financier shall repay the principal and/or interests (profit) to the investor according to the loan agreement.
6.2 In case of the underlying assets are fully or partially matured during the holding period of “Coinstore Earn”, the Platform is allowed to transfer the corresponding principal and/or revenue to the users’ platform account, or handle in the manner agreed upon in this Agreement.
7. Service Charges and Consultation Fees
7.1 The user shall pay the service charges to the Platform at 0% of the investment amount of “Coinstore Earn”.
7.2 The user acknowledges and agrees that, notwithstanding the above, the Platform may reserve the rights to charge the consultation fees or adjust the charge standards of service charges and consultation fees.
7.3 Other charges (i.e. Charges on withdrawals, transfer fees) are subject to the information on the official website.
8. Rights and Obligations of Users
8.1 The user has full capacity of civil rights and civil conduct, and can bear civil liability independently. The execution and performance of this Agreement will not breach or violate any laws, regulations or regulatory provisions binding on it, nor will it violate any rulings, orders, agreements, or undertakings that bind or affect the Platform or its assets.
8.2 The user promise that the funds used for investment are his/her own funds or legitimate funds which he/she has the right to disposal of. In case of any objection raised by a third party regarding the rightful owner and legitimacy of the funds, the user will help resolve such problems and assume his/her responsibilities; The platform or this platform shall bear no responsibilities.
8.3 Prior to signing this Agreement, the user has had a detailed understanding in respect of the underlying assets, service rules, and instructions for trading on the Platform, is full awareness of potential risks existed in the investment of “Coinstore Earn”, as well as the rights and obligations. The User acknowledges the investment risks, agrees to sign this Agreement voluntarily, and to bear the risks of investment after making independent and prudent judgments,
8.4 From the date of signing the Agreement, the user shall be deemed as voluntarily accepting all terms and conditions of this Agreement.
8.5 The user shall enjoy the benefits generated from the investment of “Coinstore Earn”, and assume the investment risks.
8.6 The user may entrust this platform or payment agencies irrevocably to make deduction of equivalent amount from the user account for the payment of various charges under this Agreement.
8.7 The user shall notify the Platform in a timely manner in case of any changes to account information, communication address, telephone number, and other important information.
Otherwise, the user shall assume the loss caused by failure to notify the Platform in time.
8.8 The user promises to pay various charges under this Agreement.
8.9 For related taxes arouse from the investment of “Coinstore Earn”, the user shall declare and pay the taxes to the competent tax authority, and the Platform will not be responsible for dealing with related matters.
Where specified in the tax laws and regulations that the Platform is obliged to pay the taxes on behalf of the user, the Platform shall deduct corresponding amount from the payment pending to pay to the user, and then pay to the tax authority.
8.10 If there is any inheritance or donation that occurred after the investment, the inheritor or donation recipient claiming the rights shall present notarized documents that can prove the rights of ownership regarding the inheritance or donation, then the Platform will deal with the rights transfer upon confirmation. The inheritor or donation recipient claiming the rights shall declare and pay the resulting taxes to the competent tax authority independently, and the Platform will not be responsible for dealing with related matters.
9. Rights and Obligations of the Platform
9.1 The Platform shall serve users with honesty, good faith, prudence and efficiency according to this Agreement.
9.2 The Platform is obliged to facilitate the investment quit of users, and has the rights to charges the corresponding service charges.
9.3 The Platform shall keep confidential users’ information, assets, and other service-related matters and materials according to law.
9.4 In the event of a financier’s default when the user is still using the Platform, the Platform may take reasonable and lawful means to help the user for reminder and recovery of the repayment.
9.5 In order to ensure successful investment of “Coinstore Earn”, the user may entrust the Platform irrevocably, and the Platform shall deduct corresponding amount equivalent to the service charges from user’s account upon acceptance of the authorization.
9.6 The user may contact the Platform for access or use of the documents in respect of the underlying asset corresponding to the investment. After going through relevant procedures, the user may access to relevant information on the Platform, and the Platform shall provide cooperation.
10. Breach of Contract
10.1 If the user violates the representations and warranties made under this Agreement or fails to fully fulfill their obligations, shall be deemed as breach of the Agreement. The user is to be held responsible for any losses arising therefrom.
10.2 The user shall compensate for the losses to the Platform include but not limited to direct losses caused by the user’s default, the interests obtained by the Platform after the execution of this Agreement, reasonable expenses incurred by the Platform to mitigate or prevent greater losses, litigations fees, legal fees, and other indirect losses.
11. Special Circumstance
11.1 The user agrees, for the security of the user’s accounts and digital currencies herein, Coinstore.com has the right to freeze all or part of user’s accounts according to this Agreement, laws and regulations, provisions of legal documents, requirements of the government to executive their administrative authority, and the potential risks occurred to the user's accounts based on the Platform’s judgment.
When user requests to unfreeze the accounts, the website has the right to judge and decide whether to unfreeze the accounts in whole or in part according to the aforesaid freezing reasons. The user shall fully understand that not all the freezing requests are approved necessarily, and should cooperate with the website to provide various documents for identity verification, include but not limited to identifiable information, ID card, passport, other valid identity document, and other information or documents required by the Company.
11.2 For the user’s accounts, digital currencies on the account, or mortgaged digital currencies involved in administrative or judicial proceedings for civil or criminal cases, the Platform is obliged to cooperate with the judicial or administrative authority to freeze the user’s accounts and make the corresponding deduction.
The Platform does not assume any responsibility for the above-mentioned cooperation.
11.3 If the Platform fails to function properly due to the following conditions, resulting in service failure, the Platform shall not be liable for any damages arising thereof. Such conditions include but not limited to:
11.3.1 The Platform system is shut down for maintenance.
11.3.2 Malfunction of telecommunication devices, which makes data transmission impossible.
11.3.3 The system of the Platform fails to execute business instruction due to force majeure such as typhoon, earthquake, tsunami, flood, power interruption, war and terrorist attack.
11.3.4 The interruptions or delays of services due to hacker attacks, computer viruses or attacks, adjustments or failures in telecommunications secctor, website upgrades, banking, bank issues, and governmental regulations which result in temperate closing of the website, affecting the normal operation of the website.
11.3.5 Losses due to technical problems that cannot be predicted or solved by existing industry technical capabilities
11.3.6 Damages to users or other third parties caused by third party faults or delays.
11.3.7 For abnormal transactions, blocked transactions, and other possible exceptional circumstances caused by unexpected factors such as system failure, network failure, and hacker attacks (i.e. DDos), the Platform has the right to clear the exceptional results according to actual situation and rollback the data stored in a certain period.
11.4 The user shall comply with laws and regulations, and ensure the appropriate use of his/her platform account and password, transaction password, and the phone number used for registration, as well as the security of receiving verification codes by mobile phone.
The user shall be fully responsible for the operations when using the Platform account, account password, transaction password, verification code, and any consequences arising therefrom.
When the user’s account, account password, transaction password, or verification code are used by an unauthorized third party, or other issues related to account security are found, the user should promptly notify the Platform to suspend service for the account temporarily.The Platform has the right to take action against the user’s request within a reasonable time, and shall not be responsible for any losses caused before taking action.Without the written consent of the Platform, the user shall not give others access to his/her account by gift, borrowing, renting, transfer, or other means.For any loss aroused in digital assets, funds, or other equities resulting from user’s failure to maintain adequate protection for the aforesaid passwords, shall be deemed as cash withdrawal or operation made by the user, and the Platform will assume no responsibilities.
11.5 The user acknowledges that the price of digital assets fluctuates due to market factors. The user should evaluate the price and investment risks before investing the digital assets for better risk control, and bear all losses and economic risks independently arising therefrom.
11.6 If the user obtained unjust enrichment when using the service due to the existing loophole that has not yet be found in the transaction rules, the Platform will contact the user for recovery of such enrichment, and the user shall provide cooperation; otherwise, the Platform has the right to take action such as set limitation for account operation, freeze the cash, and conduct judicial procedures for the recovery. The cost aroused by user’s failure to cooperate with the recourse procedure are born by the user.
12. Governing Law and Jurisdiction
12.1 Governing Law
All matters relating to this Agreement, including but not limited to the validity, interpretation, performance and resolution of disputes, shall be governed by the laws of Singapore. Any provision of this Agreement that is inconsistent with a mandatory norm in the laws of Singapore shall be construed and enforced to the fullest extent that is not prohibited by such mandatory norms, and any such agreement that conflicts with the mandatory norm shall not affect the validity of the other provisions of this Agreement.
12.2 Dispute Jurisdiction
The parties agree that any dispute arising out of the performance of this Agreement or relating to this Agreement shall be primarily resolved by friendly consultation.
If the negotiation fails, either party can refer the dispute to the Singapore Arbitration Commission in accordance with the arbitration rules in force at the time of submission.
During the proceedings or arbitration, any provisions herein not involved such dispute must be performed; neither party should refuse to perform any of his obligations hereunder on the ground that the procedure of dispute settlement is ongoing.
13.Miscellaneous
13.1 The appendix hereto is an integral part of this Agreement.
The titles and headings of this Agreement are for reference and reader's convenience only and shall not be utilized in any way to interpret the provisions of the Agreement as otherwise set forth herein.
This Agreement is concluded by users clicking confirmation on the “Coinstore Earn” platform.
The parties shall entrust service providers to keep all written documents or electronic information related to this Agreement.
